- JOB SUMMARY:
The Senior Legal Manager is responsible for: (a) advising and assisting the various departments of Landco and/or its subsidiaries in evaluating and recommending the appropriate commercial and legal structure for each business development or commercial project, taking into consideration technical, financial, and legal risks; (b) advising and providing legal leadership or support to Landco and/or its subsidiaries; (c) providing corporate legal services, including corporate secretarial services and litigation management, to Landco and/or its subsidiaries; (d) building relationships with government agencies with particular impact to Landco and/or its subsidiaries; and (e) monitoring and advocating laws, policies and regulations beneficial to Landco and/or its subsidiaries.
- JOB DUTIES AND RESPONSIBILITIES:
- LEGAL STRUCTURING AND ADVISORY
- Assists the relevant project teams and directors in analyzing and deciding on the appropriate commercial and legal project structures for their business development projects and initiatives;
- Assists the relevant project teams and directors in ensuring that the adopted recommendations and structures are discussed and agreed upon with the partners through active participation or leading in negotiations and meetings
- Provides legal and taxation advise to ensure project structures are tax efficient and compliant
- Drafts and reviews the transaction documents and agreements to ensure these reflect the agreed upon transaction structure and sufficiently protect Landco and its subsidiaries
- Prepares or assists in preparing materials for decision-making bodies (ManCom, Board, etc.)
- LAND BANKING AND REAL ESTATE DEVELOPMENT
- Leads the conduct and supervises external advisers in the conduct of legal due diligence on properties eyed by the Landco and/or its subsidiaries
- Assists in the implementation and maintenance of an effective and efficient system for monitoring and accounting of real property assets and cases connected to it
- Assists in securing and protecting the company’s ownership and enjoyment over real properties acquired, leased or exchanged
- Assists in monitoring cases and claims related to all company properties
- Assists in protecting and defending the rights and enjoyment of the Landco and/or its subsidiaries over properties which are subject of dispute/s
- LITIGATION
- Attends to all cases pending or filed by/against Landco and/or its subsidiaries;
- Monitors case status and prepare a monthly report on the same;
- Prepares and/or reviews pleadings, papers and documents related to complaints pending or filed by or against Landco and/or its subsidiaries;
- For cases handled by external counsels, closely coordinate with and monitor external counsels and secure status updates for inclusion in the monthly status report of cases;
- GENERAL LEGAL SUPPORT
- Drafts, reviews and finalizes contracts, agreements or commercial documents in connection with or related to the operations of Landco and/or its subsidiaries and provide advice on legal issues in connection therewith;
- Drafts, reviews and/or revises legal opinions in connection with the business operations of Landco and/or its subsidiaries;
- Prepares papers and documents, including letters, notices or replies addressed to government or private agencies or offices as may be requested by the different departments of Landco and/or its subsidiaries;
- Conducts legal research and provides an opinion or advice to ensure the Company’s compliance with relevant laws and regulations.
- Makes the necessary inquiry, application and submission to relevant authorities relative to licensing and corporate governance requirements of Landco and/or its subsidiaries;
- Checks and monitors Landco and/or its subsidiaries’ adherence with compliance and legal requirements of regulatory agencies and report thereon;
- Conducts a quarterly legal audit to determine and ensure compliance by the Company with legal and regulatory requirements;
- Acts as the Corporate Secretary / Assistant Corporate Secretary during Board/Shareholder meetings, alternate Compliance Officer before government agencies, and other legal functions as may be assigned from time to time or as may be required by law
- Performs related duties and responsibilities as may be assigned from time to time.
QUALIFICATIONS:
- At least seven (7 years) of relevant work experience as a licensed legal professional in a reputable law office and/or in-house counsel role, with significant experience in matters or requirements of real estate companies.
- Possession of real estate-related or -complementary experience or background is preferred
- Preferably with experience in managing people and leading cross-functional teams
